Acceptance of Terms
These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("Patient," "User," "you") and Tengrium Health, Inc. ("Tengrium Health," "Tengrium," "we," "us," "our"), a Florida corporation with its principal place of business in Florida, United States. These Terms govern your access to and use of Tengrium Health's technology health platform, including our website, mobile applications, and all related services (collectively, the "Platform" or "Services").
By creating an account, accessing the Platform, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
Definitions
For purposes of these Terms, the following definitions apply:
- "AI Agentic Framework" means Tengrium Health's proprietary artificial intelligence and machine learning systems that assist Healthcare Providers in diagnosis, monitoring, treatment planning, and clinical decision-making.
- "Asynchronous Consultation" means healthcare services provided through store-and-forward technology, where clinical information is collected and transmitted to Healthcare Providers for later review.
- "Business Associate Agreement" or "BAA" means an agreement required under HIPAA between Tengrium Health and third-party service providers who create, receive, maintain, or transmit PHI on our behalf.
- "Concierge MD Services" means subscription-based enhanced primary care services providing extended access to Healthcare Providers, including priority scheduling and comprehensive health management.
- "Healthcare Provider" or "Provider" means a licensed physician, nurse practitioner, physician assistant, or other qualified healthcare professional credentialed by Tengrium Health.
- "HIPAA" means the Health Insurance Portability and Accountability Act of 1996, as amended, including the Privacy Rule, Security Rule, and Breach Notification Rule.
- "Protected Health Information" or "PHI" means individually identifiable health information created, received, maintained, or transmitted by Tengrium Health in any form as defined by HIPAA.
- "Subscription" means your paid membership providing access to Services on a recurring billing basis.
- "Synchronous Consultation" means real-time, interactive healthcare services delivered through audio-video or audio-only telecommunications technology.
- "Telehealth" or "Telemedicine" means the use of synchronous or asynchronous telecommunications technology to provide healthcare services.
Eligibility Requirements
3.1 Age Requirement
You must be at least 21 years of age to use the Platform or Services. By using the Platform, you represent and warrant that you are at least 21 years old. Users found to be under 21 will have their accounts immediately terminated without refund.
3.2 Additional Eligibility Requirements
To use the Services, you must:
- Be physically located in the United States, in a state where Tengrium Health operates and where your Healthcare Provider is licensed
- Have the legal capacity to enter into a binding contract
- Provide accurate, complete, and current information during registration
- Not be prohibited from receiving Services under applicable laws
- Have access to appropriate technology (smartphone, tablet, or computer with internet connectivity, camera, and microphone)
- Not have been previously suspended or terminated from the Platform
3.3 Identity and Location Verification
For each consultation, you must provide your current physical address, verify your identity as requested, and confirm you are located in a state where your Provider is licensed. Provision of false information constitutes a material breach and may result in termination and legal action.
Scope of Services
4.1 Services Provided
Tengrium Health operates a technology health platform that facilitates the provision of telehealth services by independent Healthcare Providers:
- Diagnosis and Assessment: Evaluation through synchronous and asynchronous consultations
- Monitoring: Ongoing tracking of chronic conditions, treatment progress, and health metrics
- Treatment Planning: Personalized plans including lifestyle recommendations and medication management
- Concierge MD Services: Enhanced subscription-based primary care with extended provider access
- AI-Assisted Clinical Decision Support: Use of our proprietary AI Agentic Framework to assist Providers (see Section 5)
4.2 Services Not Provided
Tengrium Health does not:
- Sell, fulfill, dispense, or distribute medications or prescriptions
- Provide emergency medical services (see Section 10)
- Guarantee specific medical outcomes or results
- Provide in-person medical services, physical examinations, or surgical procedures
- Serve as a substitute for ongoing in-person primary care relationships
- Perform services prohibited by state or federal law via telehealth
4.3 Standard of Care
Healthcare Providers are held to the same professional standard of care as providers delivering in-person services. Providers practice in accordance with the prevailing standard in your state, applicable medical practice acts, their professional scope, and evidence-based guidelines.
4.4 Provider-Patient Relationship
A provider-patient relationship is established when you consult with a Healthcare Provider through the Platform. This relationship is between you and the individual Provider. Tengrium Health facilitates this relationship but does not itself practice medicine. Providers maintain independent professional judgment and clinical autonomy.
4.5 Prescription Policy and Limitations
Providers may prescribe medications within their scope and in accordance with state and federal laws. Key limitations:
- Schedule II Controlled Substances: Generally cannot be prescribed via telehealth except in limited circumstances permitted by Florida law
- Schedule III-V: May be prescribed in compliance with Florida Statute §456.47 and DEA regulations
- Physical Exam Required: In-person examination required before initially prescribing controlled substances for chronic nonmalignant or acute pain
- No Questionnaire-Only Prescribing: Providers will not prescribe based solely on electronic questionnaires
- Prescription Fulfillment: You are solely responsible for filling prescriptions at a licensed pharmacy of your choice
4.6 When Telehealth Is Inappropriate
Providers will determine when telehealth is inappropriate and will refer you to in-person care when necessary, including for conditions requiring physical examination, emergency situations, symptoms suggesting serious acute conditions, or situations where technology prevents adequate assessment.
Artificial Intelligence Disclosure and Informed Consent
5.1 AI Use Disclosure
Tengrium Health utilizes an AI Agentic Framework incorporating artificial intelligence and machine learning to assist Healthcare Providers with clinical decision-making. You are hereby notified that AI technology may be used in connection with your care.
5.2 How AI Is Used
Our AI framework assists Providers by analyzing medical data, identifying patterns and risk factors, generating diagnostic hypotheses, recommending evidence-based treatment options, monitoring treatment effectiveness, and synthesizing relevant medical literature.
5.3 Human Oversight and Final Authority
All medical decisions are made by licensed Healthcare Providers who retain full professional responsibility and clinical authority. AI provides recommendations; Providers independently review, assess, and make final determinations. Providers may accept, modify, or reject AI-generated recommendations. You always have the right to ask about AI's role in your care.
5.4 AI Transparency
Algorithm Development: AI systems are developed using machine learning models trained on de-identified medical datasets, clinical literature, and evidence-based guidelines.
Known Limitations: AI may be less accurate for rare conditions or unusual presentations. Performance may vary across demographics. AI cannot replace human clinical judgment. Technology limitations may affect analysis.
Bias Mitigation: We implement ongoing bias detection including regular performance audits across demographic subpopulations, diverse training data collection, algorithm updates, and provider education.
5.5 Regulatory Compliance
Our AI systems comply with applicable FDA regulations, including guidance on Clinical Decision Support Software. Systems are designed to support, not replace, Provider decision-making with appropriate human oversight.
5.6 AI Consent
By using the Services, you consent to the use of AI technology to assist Providers. You acknowledge being informed about AI use, understanding that Providers maintain final authority, and having the opportunity to ask questions. If you have concerns, discuss them with your Provider before proceeding.
Patient Responsibilities
6.1 Accurate Information
You must provide complete, accurate, and truthful information including medical history, current symptoms, medications, allergies, previous diagnoses, insurance information (if applicable), and emergency contacts. Failure to provide accurate information may compromise your care and result in termination.
6.2 Compliance with Treatment Plans
You are responsible for following Provider instructions, taking medications as prescribed, attending follow-ups, monitoring your condition, promptly reporting changes, and seeking in-person care when recommended.
6.3 Technology Requirements
You must maintain adequate internet connectivity, ensure functioning camera and microphone, use the Platform in a private location, test technology before appointments, and report technical difficulties.
6.4 Security Responsibilities
You are responsible for maintaining credential confidentiality, preventing unauthorized access, notifying us of suspected breaches, logging out on shared devices, and using secure internet connections.
6.5 Prohibited Uses
You may not use the Services for unlawful purposes, provide false information, impersonate others, share credentials, obtain prescriptions for illegal purposes, harass Providers or staff, interfere with Platform systems, upload malicious code, or reverse engineer proprietary technology. Violations may result in immediate termination and legal action.
Subscription Terms, Payment, and Billing
7.1 Subscription Model
Services are provided on a subscription basis. Available plans include Monthly (billed every 30 days), Quarterly (every 90 days), Annual (every 365 days), and Concierge MD Plans with enhanced services.
7.2 Automatic Renewal
Your subscription automatically renews at the end of each billing cycle unless you cancel at least 24 hours before the renewal date. Your payment method will be charged at the then-current subscription price. To cancel: log into your account → Subscription Settings → Cancel Subscription, or contact support@tengriumhealth.com.
7.3 Payment Authorization
By subscribing, you authorize Tengrium Health to charge your designated payment method for initial fees, recurring renewals, additional services, and applicable taxes.
7.4 Price Changes
We reserve the right to change prices with at least 30 days advance notice via email. Changes take effect on your next renewal date. You may cancel before the new price takes effect.
7.5 Payment Processing
Payments are processed through PCI-DSS compliant third-party processors. We do not store complete credit card numbers. Failed payments may result in service suspension. You are responsible for maintaining current payment information.
7.6 Billing Disputes
Contact billing@tengriumhealth.com within 30 days of a disputed charge. During investigation, we will not pursue collections or charge late fees, and your access will continue.
7.7 No Insurance Billing
Tengrium Health does not bill insurance companies. Services are paid directly by you. You may submit claims to your insurer for potential reimbursement, but coverage is not guaranteed.
7.8 Good Faith Estimates
In accordance with the No Surprises Act, we provide good faith estimates upon request. If charges exceed the estimate by $400 or more, you may be eligible for dispute resolution.
Cancellation, Refunds, and Termination
8.1 Your Right to Cancel
You may cancel at any time without penalty via your account settings (Account Settings → Subscription Management → Cancel Subscription), by emailing support@tengriumhealth.com, or by phone during business hours.
8.2 Cancellation Effective Date
Cancellation takes effect at the end of your current billing cycle. You retain access through the paid period. No subsequent charges will be made.
8.3 Refund Policy
Pro-rated refunds available for: billing errors (full refund), service unavailability exceeding 48 consecutive hours, and material adverse Terms changes (within 30 days of notice).
No refunds for: partial periods, change of mind, unused services during your subscription period, or accounts terminated for Terms violations.
8.4 Termination by Tengrium Health
We may suspend or terminate your account immediately, without prior notice or refund, if you violate these Terms, provide false information, engage in fraud, abuse Providers or staff, use Services unlawfully, remain inactive for 24 months, or if required by law.
8.5 Medical Records After Termination
You retain the right to access your medical records after termination. Submit a written request to records@tengriumhealth.com. We will provide records within 30 days. Reasonable fees may apply.
HIPAA Compliance, Privacy, and Data Security
9.1 HIPAA Covered Entity
Tengrium Health is a HIPAA Covered Entity and complies with all requirements of the Privacy Rule, Security Rule, and Breach Notification Rule.
9.2 Permitted Uses of PHI
We use and disclose your PHI for treatment (consultations, AI-assisted analysis, care coordination), payment (subscription processing, billing), and healthcare operations (quality assurance, credentialing, compliance). We apply the minimum necessary standard except for treatment purposes.
9.3 Your HIPAA Rights
- Access: Inspect and obtain copies within 30 days
- Amendment: Request corrections within 60 days
- Accounting of Disclosures: List of disclosures for prior 6 years
- Restrictions: Request limits on use and disclosure
- Confidential Communications: Request alternative communication methods
- Breach Notification: Right to be notified of PHI breaches
- Complaints: File with Tengrium Health or HHS without retaliation

9.4 Security Safeguards
- Technical: TLS 1.2+ and AES 256-bit encryption, multi-factor authentication, audit logging, vulnerability testing
- Administrative: Security policies, workforce training, risk management, BAAs with all vendors
- Physical: Secure facilities, workstation security, device and media disposal procedures
9.5 Breach Notification
In the event of a breach, we will notify you within 60 days by mail or email, including a description of the breach, types of PHI involved, steps you can take, and our response measures.
9.6 Data Retention
Medical records retained for a minimum of 5 years from last patient contact (Florida requirement). HIPAA compliance documentation retained for 6 years. Upon expiration, data is securely destroyed per NIST standards.
Emergency Services Disclaimer
The Tengrium Health Platform is not intended for medical emergencies. Do not use the Platform for emergency situations. If you are experiencing a medical emergency, call 911 immediately or go to the nearest emergency room.
10.1 Emergency Examples
Medical emergencies requiring immediate 911 call include chest pain, difficulty breathing, signs of stroke, severe bleeding, loss of consciousness, suicidal or homicidal thoughts, suspected overdose, severe allergic reaction, seizures, and any condition threatening life or limb.
10.2 Emergency Protocols During Consultations
If an emergency occurs during a consultation, call 911 immediately. Inform the Provider. Stay on the line with emergency services. You must provide your current physical address at the beginning of each consultation to enable emergency response. If the consultation disconnects, call 911 — do not try to reconnect.
10.3 When to Seek In-Person Care
In addition to emergencies, seek in-person care for conditions requiring physical examination, abnormal test results, conditions not improving despite telehealth treatment, or whenever your Provider recommends it.
Telemedicine Informed Consent
11.1 Consent to Telehealth
By using the Services, you voluntarily consent to receive healthcare via telemedicine, including delivery through telecommunications technology, communication with Providers in different locations, transmission of your medical information over secure networks, and electronic storage of records.
11.2 Benefits
Convenient access from your location, reduced travel time and costs, access to Providers not available locally, continuity of care for ongoing conditions, and care when in-person visits are impractical.
11.3 Risks and Limitations
Diagnostic: No hands-on exams, some tests cannot be conducted remotely, certain conditions may be harder to diagnose.
Technology: Technical difficulties may interrupt consultations, audio/video quality may be inadequate, connectivity issues may affect quality.
Privacy: Despite encryption, electronic transmission carries inherent risks.
Treatment: Not all conditions can be treated remotely. Some prescriptions require in-person examination. Follow-up in-person care may be necessary.
11.4 Provider Credentials
All Providers are licensed in your state, credentialed by Tengrium Health, subject to the same professional standards as in-person providers, and covered by professional liability insurance. You may request credential information at any time.
11.5 Consultation Recordings
Consultations are not routinely recorded. If recording is necessary, we will obtain your explicit written consent. You may not record consultations without Provider consent.
11.6 Withdrawal of Consent
You may withdraw consent at any time by notifying your Provider, contacting customer support, or canceling your subscription. Withdrawal does not affect access to medical records or other patient rights.
Medical Disclaimers and Limitation of Liability
12.1 No Guarantee of Results
Tengrium Health and Healthcare Providers do not guarantee any specific medical outcome or result from Services. Outcomes depend on your health status, treatment adherence, disease progression, and factors beyond our control.
12.2 Provider Independence
Providers are independent licensed professionals maintaining professional responsibility for clinical decisions. Tengrium Health provides the technology platform, does not practice medicine, and does not direct or control Provider clinical judgment.
12.3 Platform "As Is"
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Tengrium Health disclaims all warranties, express or implied, including merchantability, fitness for particular purpose, accuracy, and uninterrupted operation. This disclaimer does not apply to core medical services provided by Healthcare Providers.
12.4 Limitation of Liability
To the maximum extent permitted by law, Tengrium Health shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Platform, technology failures, unauthorized access, or third-party conduct.
This limitation does not apply to: medical malpractice claims against Providers, gross negligence or willful misconduct, HIPAA violations, or claims where such limitations are prohibited by law.
12.5 Maximum Aggregate Liability
Total aggregate liability shall not exceed the subscription fees you paid in the 12 months preceding the event giving rise to liability. This does not apply to medical malpractice claims.
12.6 No Waiver of Malpractice Claims
Nothing in these Terms waives or limits liability for medical malpractice where a physician-patient relationship exists. Healthcare Providers remain fully liable for professional negligence under applicable malpractice laws.
Intellectual Property Rights
All content, features, functionality, software, algorithms (including AI models), trademarks, and medical content are owned by Tengrium Health or its licensors and are protected by intellectual property laws. "Tengrium Health" and associated marks are trademarks of Tengrium Health, Inc.
13.1 Limited License
You receive a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use. You may not copy, distribute, reverse engineer, or create derivative works.
13.2 Your Medical Information
While you own your medical information, you grant us a license to use de-identified and aggregated health information for quality improvement, AI training, analytics, and regulatory reporting, provided such use complies with HIPAA.
13.3 Feedback
Any feedback or suggestions you provide are granted to Tengrium Health with an unrestricted, perpetual, royalty-free license to use, modify, and incorporate without compensation.
User-Generated Content and Communications
You may communicate with Providers through synchronous consultations, secure messaging, asynchronous consultations, and health questionnaires. All communications are subject to HIPAA protections.
You may not transmit false, abusive, threatening, discriminatory, or illegal content; spam or promotional materials; viruses or harmful code; or content violating intellectual property rights. Communications may be monitored for quality assurance, compliance, and patient safety in accordance with HIPAA.
Amendment and Modification
Tengrium Health reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days advance written notice via email, Platform notice, and in-app notification. The notice will include a summary of changes, effective date, link to revised Terms, and your options.
If you do not agree to material changes, you may cancel before the effective date and receive a pro-rated refund. Continued use after the effective date constitutes acceptance. We maintain version control of all Terms.
Dispute Resolution, Arbitration, and Governing Law
16.1 Governing Law
These Terms are governed by Florida and federal law. Where you receive Services in another state, that state's malpractice standards and patient protections apply to medical services.
16.2 Arbitration Agreement
Except as specified below, disputes shall be resolved through binding individual arbitration under the American Arbitration Association's Consumer Arbitration Rules.
Excluded from arbitration: medical malpractice claims, small claims court matters, intellectual property claims, HIPAA violation claims, and claims seeking injunctive relief.
16.3 Class Action Waiver
To the maximum extent permitted by law, you and Tengrium Health agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
16.4 30-Day Opt-Out Right
You may opt out of arbitration by sending written notice within 30 days of first accepting these Terms to legal@tengriumhealth.com. Include your name, address, email, and clear statement of opt-out. This does not affect other Terms provisions or your access to Services.
16.5 Informal Resolution First
Before formal proceedings, contact disputes@tengriumhealth.com to attempt informal resolution. Both parties agree to negotiate in good faith for 60 days.
16.6 Time Limitation
Claims must be brought within two years from accrual, except medical malpractice claims (subject to applicable state statutes, typically 2-4 years) and statutory claims (subject to their own limitations periods).
Compliance with Laws and Regulations
Federal: HIPAA, FTC Act, FDA regulations (for AI systems), DEA controlled substance regulations, No Surprises Act, and ADA.
Florida: Florida Statute §456.47 (Telehealth), §456.44 (Controlled Substances), Florida medical practice acts, Board of Medicine regulations, and consumer protection statutes.
Multi-State: Providers are licensed in states where they serve you. Services comply with your state's telemedicine regulations, standard of care, and prescribing laws.
Accessibility: We comply with ADA and WCAG 2.1 Level AA. Report accessibility barriers to accessibility@tengriumhealth.com.
General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and Notice of Privacy Practices, constitute the entire agreement and supersede all prior agreements.
18.2 Severability
If any provision is found invalid, it shall be modified to the minimum extent necessary or severed. Remaining provisions continue in full force.
18.3 Assignment
You may not assign these Terms without our consent. Tengrium Health may assign without restriction, including to successors or purchasers.
18.4 Force Majeure
Tengrium Health is not liable for failures due to natural disasters, pandemics, government actions, internet failures, power outages, or cyberattacks.
18.5 Electronic Signatures
You consent to the use of electronic signatures, contracts, orders, records, and delivery of notices. You waive requirements for non-electronic records.
18.6 Survival
Sections 2 (Definitions), 8.4–8.5 (Termination Effects), 9 (HIPAA), 12 (Disclaimers), 13 (Intellectual Property), 16 (Dispute Resolution), and 18 (General Provisions) survive termination.

Consent and Acknowledgment
20.1 Account Creation Consent
By clicking "I Agree" and creating an account, you acknowledge that you have read these Terms in their entirety, reviewed our Privacy Policy and Notice of Privacy Practices, are at least 21 years of age, all information provided is accurate, and you agree to be legally bound.
20.2 Healthcare Service Consents
Before your first consultation, you will separately consent to telemedicine services (Section 11), AI-assisted care (Section 5), and emergency services understanding (Section 10).
20.3 Continuing Consent
Continued use after receiving notice of modifications constitutes acceptance, unless you cancel before the effective date (Section 15).
These Terms and Conditions are effective as of August 1, 2025 and govern all use of Tengrium Health Services from that date forward.
